Terms of Service

1. Agreement

By accessing or using QuickInsights.ai (the "Platform"), you agree to these Terms of Service ("Terms") on behalf of yourself and the organisation you represent ("you", "Customer"). If you do not agree, do not use the Platform. These Terms incorporate our Privacy Policy. By using third-party integrations available on the Platform, you also agree to the applicable terms of those platforms and authorise us to access data from them on your behalf.

2. Who We Are

QuickInsights.ai is operated by InsightChakra Technologies Private Limited ("InsightChakra", "we", "us"), incorporated under the Companies Act, 2013, with its registered office in Chennai, Tamil Nadu, India.

3. Access and Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@quickinsights.ai if you suspect unauthorised access. We are not liable for losses arising from unauthorised use of your account where you have failed to maintain credential security. You may only connect platforms and accounts for which you have lawful authorisation.

4. Acceptable Use

You agree to use the Platform lawfully and only for its intended purpose of marketing analytics and attribution. You must not: attempt to reverse engineer, copy, or resell any part of the Platform; scrape, extract, or systematically download Platform data; use the Platform to access third-party accounts you are not authorised to access; introduce malicious code or attempt to disrupt the Platform or its infrastructure; or use the Platform in violation of any applicable law.

5. Confidentiality

During your use of the Platform, both parties may exchange confidential information. "Confidential Information" means all nonpublic information concerning business plans, finances, technology, and third-party data. Confidential Information does not include information that is publicly available, known prior to disclosure, or independently developed.

Both parties agree to take reasonable measures to avoid unauthorized disclosure of Confidential Information. Access is restricted to personnel who have a need to know and are bound by confidentiality obligations. The receiving party may disclose information only if required to comply with judicial or governmental orders.

6. Intellectual Property & AI Model Training

All rights in the Platform, including its code, design, trademarks, and underlying technology, are owned by InsightChakra Technologies Private Limited. Nothing in these Terms transfers any such rights to you. You acknowledge that we may develop products or concepts similar to your Confidential Information, provided we do not violate our obligations under these Terms.

You retain ownership of your data. We do not claim ownership of data you connect to the Platform or insights generated from your data. Analytics outputs and reports produced by the Platform are provided for your internal business use and may not be resold.

Notwithstanding the foregoing, you grant InsightChakra the right to use your Confidential Information and connected data solely to train and improve our Artificial Intelligence and Machine Learning (AI/ML) models to the extent necessary for providing and enhancing the Services, provided that such use does not result in the disclosure of your specific Confidential Information to any third party.

7. Subscription and Payment

Access to the Platform is subject to the pricing and payment terms agreed at the time of onboarding or as set out in a separate order form or pilot agreement. All fees are non-refundable unless otherwise agreed in writing. We reserve the right to suspend access for non-payment after 7 days written notice.

8. Disclaimers

The Platform is provided on an "as-is" and "as-available" basis. We do not warrant that the Platform will be error-free, uninterrupted, or that outputs will be accurate or complete. Analytics and attribution outputs are based on data supplied by third-party platforms and are provided for informational purposes only. You are responsible for independently verifying outputs before making business decisions.

9. Limitation of Liability and Indemnification

To the maximum extent permitted by applicable law, InsightChakra's total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you to InsightChakra in the three months immediately preceding the event giving rise to the claim. In no event shall InsightChakra be liable for loss of profits, loss of revenue, loss of data, indirect, incidental, consequential, or punitive damages.

Indemnification: You agree to indemnify and hold harmless InsightChakra from any claims, damages, or legal fees arising from your breach of these Terms, your violation of third-party platform terms, or your submission of unauthorized data.

10. Termination and Data Return

Either party may terminate access with 30 days written notice. We may suspend or terminate your access immediately if you breach these Terms, misuse third-party integrations, or engage in unauthorised access or scraping.

Upon termination, your right to access the Platform ceases. Subject to compliance with legal retention requirements, we will return or destroy all tangible materials containing your Confidential Information promptly, not exceeding fifteen (15) business days following your written request. The obligations regarding Confidentiality will survive for three (3) years post-termination.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-platform notification before they take effect. Continued use of the Platform after the effective date of an update constitutes acceptance of the revised Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of India, without reference to its conflict of law rules. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.
